18.1 Phạt vi phạm:
Chậm trễ hay trì hoãn trong việc thanh toán thì tiền phạt sẽ được tính là 1% giá trị hợp đồng cho mỗi ngày chậm trễ hay trì hoãn cho tới khi đạt 30% giá trị phần bị chậm trễ hay trì hoãn.
18.2 Hủy bỏ hợp đồng:
Việc hủy bỏ hợp đồng sẽ không được chấp nhận. Nếu bên A hoặc bên B muốn hủy bỏ hợp đồng sẽ bị phạt 5% tổng giá trị của hợp đồng.
Các biện pháp phạt vi phạm khác do các bên thỏa thuận không trái với nguyên tắc cơ bản của pháp luật Việt Nam, tập quán thương mại quốc tế, những điều ước của những tổ chức quốc tế mà Việt Nam là thành viên.
Trường hợp vi phạm không cơ bản hợp đồng chuyển giao công nghệ thì không được áp dụng chế tài tạm ngừng thực hiện hợp đồng, đình chỉ thực hiện hợp đồng hoặc hủy bỏ hợp đồng, trừ trường hợp các bên có thỏa thuận khác.
Các bên có thể thoả thuận hạn chế mức độ trách nhiệm bồi thường thiệt hại đối với việc vi phạm hợp đồng chuyển giao công nghệ, trừ trường hợp pháp luật có quy định khác.
