Về phía pháp luật Hoa Kỳ: những khó khăn đối với các đối tác Việt Nam không phải do hệ thống pháp luật của Hoa Kỳ còn có những thiếu sót, thiếu đồng bộ, mà do hệ thống đó quá phức tạp. Những doanh nghiệp nào nắm bắt và hiểu rõ được những luật, lệ kinh doanh và tập quán tiêu thụ ở Hoa Kỳ mới có khả năng gặt hái được ít nhiều kết quả ở thị trường Hoa Kỳ.
Tuy nhiên, từng doanh nghiệp Việt Nam khó mà nắm bắt hết hệ thống luật lệ Liên bang và các bang ở Hoa Kỳ. Chúng ta biết rằng, bên cạnh hệ thống pháp luật Liên bang, các bang ở Hoa Kỳ đều có hệ thống luật pháp riêng. Trong đó có khá nhiều điều khoản điều chỉnh một vấn đề lại khá khác biệt nhau. Một điểm đáng chú ý là trong nhiều thập kỷ qua, chính sách Thương mại Hoa Kỳ luôn hướng tới tự do hoá thương mại toàn cầu (thông qua WTO), khu vực (các hiệp định Thương mại khu vực, như NAFTA), và đặc biệt ở cấp độ song phương với hàng loạt hiệp định thương mại song phương giữa Hoa Kỳ với các nước khác.
Các quy định của Luật Thương mại Hoa Kỳ rất chặt chẽ. Hệ thống Luật thuế và thuế của Hoa Kỳ nổi tiếng là rắc rối và ngày càng phức tạp.
