trừ phi hợp đồng này có những quy định khác , các điều khoản trong hợp đồng này sẽ được giải thích theo "quy tắc quốc tế về các thuật ngữ Thương Mại " do Phòng thương mại quốc tế cung cấp
21. Trọng tài phân xử
tất cả những tranh chấp nảy sinh từ việc thực hiện hợp đồng này nên được giải quyết thông qua đàm phán hữu nghị. Nếu thông qua đàm phán mà không đạt được giải pháp nào thì nên giao cho trọng tài phân xử tại nước mà ban bị kiện cư trú. nếu việc phân xử diễn ra ở Việt Nam vụ kiện nên được giao cho trọng tài Ngoại Thương thuộc Hội Đồng Phát Triển Mậu Dịch Quốc Tế Việt Nam và sẽ áp dụng các quy tắc phân xử của ủy ban này . Nếu việc phân xử diễn ra ở Mỹ vụ kiện đã được giao cho trọng tài ngoại thương thuộc hội đồng phát triển mậu dịch quốc tế New York , và sẽ được áp dụng quy tắc phân xử của cơ quan trọng tài này . Phán quyết của trọng tài phân xử sẽ là quyết định cuối cùng và ràng buộc của cả hai bên

If the arbitration takes place in the U.S. lawsuit was delivered to the Foreign Trade Arbitration Council in the development of international trade in New York, and will apply the arbitration rules of the arbitration body. The ruling of the arbitrator will be final and binding on both parties

If the arbitration proceedings took place in the United States has been allocated to foreign trade arbitration council development of international trade in New York, and will be applicable arbitration rules of the arbitration body.
