Dò xét bằng sáng chế, bí quyết công nghệ tại bất cứ nơi nào khác ngoài địa điểm chuyển giao mà không có sự cho phép bằng văn bản trước đó của bên A.
Tự ý sử dụng và bán những sản phẩm trong hợp đồng ngoài lãnh thổ Việt Nam.
Lưu ý: Trường hợp bên B thất bại trong việc thực hiện những nghĩa vụ theo khoản này, mọi mất mát và tổn thất thực tế phát sinh bởi bên A sẽ do bên B chịu và bên A có quyền chấm dứt hợp đồng mà không tổn hại đến bất kỳ biện pháp khắc phục nào được quy định trong hợp đồng.
Giấy phép được cấp theo hợp đồng không được phép chuyển nhượng và phụ cấp phép, nghĩa là bên B không có quyền chuyển nhượng hay phụ cấp phép cho bất cứ bên thứ 3 nào mà không có sự cho phép trước đó của bên A.
