Bộ luật Dân sự 2005 của Việt Nam coi năng lực giao kết hợp đồng là yếu tố đầu tiên để áp đặt điều kiện có hiệu lực của hợp đồng, còn yếu tố tự nguyện được xếp ở hàng thứ ba. Trong một chừng mực nhất định có thể nói, năng lực giao kết hợp đồng là một bộ phận hay một phần không thể không xem xét đến của thành tố ưng thuận. Có lẽ vì thế mà Bộ luật Dân sự Tây Ban Nha không đề cập tới năng lực giao kết hợp đồng trong khi nói tới các điều kiện có hiệu lực của hợp đồng, mà chỉ nói tới nó khi phân tích điều kiện ưng thuận – một điều kiện có hiệu lực đầu tiên của hợp đồng theo Bộ luật này.

The civil code considered Vietnam's 2005 capacity contracts is the first factor to impose conditions of validity of the contract, while the voluntary element was placed in the third row. In a certain extent can say, power contracts is a division or a section may not consider to elements of consent. Maybe that's why The Spanish civil law does not refer to contracts in capacity when it comes to the conditions of the contract, which only refers to it as consent conditions analysis-a condition that the first effect of the contract according to the law.

2005 Civil Code of Vietnam considered contractual capacity is the first factor to impose conditions of validity of the contract, while the voluntary element is ranked in third place. In a certain extent we can say, contracting capabilities are part or parts can not disregard the elements of consent. Maybe so, but the Civil Code of Spain does not refer to contractual capacity while referring to the conditions of validity of the contract, but only refers to it as analytical conditional consent - a conditions first effect of contracts under this Code.
