Hiến pháp 2013 đã thừa nhận quyền tự do kinh doanh là quyền con người và là một trong những quyền cơ bản của công dân. Hơn nữa, không quy định chung chung như Hiến pháp 1992 là công dân có quyền tự do kinh doanh theo quy định của pháp luật, điều 33 của Hiến pháp 2013 nói rõ rằng “Mọi người có quyền tự do kinh doanh trong những ngành nghề mà pháp luật không cấm”. Quy định này hàm chứa hai ý quan trọng: Mọi người có quyền tự do kinh doanh; và Giới hạn của quyền tự do đó là những gì luật cấm, nói khác đi, muốn cấm cái gì thì Nhà nước phải công bố minh thị.

Ngành nghề cấm kinh doanh: Điều cấm đã được nói rõ
Luật Doanh nghiệp hiện hành không nêu các ngành nghề cấm kinh doanh. Thay vào đó, điều 30 LĐT hiện hành cấm đầu tư trong các lĩnh vực gây phương hại đến quốc phòng, an ninh quốc gia, lợi ích công cộng; di tích lịch sử, văn hóa, đạo đức, thuần phong mỹ tục Việt Nam; sức khỏe nhân dân, hủy hoại tài nguyên, phá hủy môi trường; và các dự án xử lý phế thải độc hại đưa từ bên ngoài vào Việt Nam; sản xuất các loại hóa chất độc hại hoặc sử dụng tác nhân độc hại bị cấm. Vấn đề là không dễ xác định phạm vi của các lĩnh vực cấm đầu tư, vậy nên, về bản chất, không thể xác định được giới hạn cấm.

Tuy nhiên, điều này hoàn toàn thay đổi trong Luật doanh nghiệp 2014. Điều 7 về quyền của doanh nghiệp trong luật doanh nghiệp 2014 minh thị rằng doanh nghiệp được “tự do kinh doanh trong những ngành, nghề mà luật không cấm”.

Cấm đầu tư kinh doanh trong sáu ngành nghề sau: kinh doanh ma túy; kinh doanh hóa chất, khoáng vật cấm; kinh doanh động, thực vật hoang dã, nguy cấp, quý hiếm có nguồn gốc từ tự nhiên; kinh doanh mại dâm; mua, bán người, mô, bộ phận cơ thể người và các hoạt động kinh doanh liên quan đến sinh sản vô tính trên người.

Đăng ký kinh doanh: Không cần ghi ngành nghề
Điều 9, Luật doanh nghiệp hiện hành quy định doanh nghiệp có nghĩa vụ “hoạt động kinh doanh theo đúng ngành, nghề đã ghi trong giấy chứng nhận đăng ký kinh doanh. Điều luật này trói buộc doanh nghiệp trong những ngành nghề mà Nhà nước nghĩ ra, liệt kê ra và cho phép doanh nghiệp đăng ký. Suy cho cùng, đó là sự ban phát quyền kinh doanh từ Nhà nước.

Tuy nhiên, một khi giới hạn cấm kinh doanh đã được làm sáng tỏ, việc liệt kê ngành nghề kinh doanh, với ý nghĩa xác định quyền hoạt động kinh doanh của doanh nghiệp, sẽ trở nên vô nghĩa.
Trong LDN 2014, ngành nghề kinh doanh không còn là một nội dung trong GCNĐKDN nữa. Theo điều 29 của luật mới này, GCNĐKDN sẽ chỉ còn bốn nội dung: tên doanh nghiệp và mã số doanh nghiệp; địa chỉ trụ sở chính; thông tin về người đại diện theo pháp luật và thành viên công ty; và vốn điều lệ.

Đứng ở góc độ điều hành, doanh nghiệp sẽ không còn phải lo lắng xem công việc mình đang làm có phù hợp với ngành nghề đã đăng hay không, hoặc hợp đồng sẽ hoặc đã ký có bị đối tác kiện ra tòa yêu cầu tuyên vô hiệu với lý do nội dung công việc không nằm trong phạm vi ngành nghề đăng ký hay không.

The Constitution acknowledged freedom 2013 business is human rights and is one of the fundamental rights of citizens. Furthermore, no regulations such as the Constitution of 1992 is that citizens have the freedom of business under the provisions of the law, article 33 of the Constitution of the 2013 articulates that "everyone has the right to do business in those industries that are not prohibited by law". 2013 Constitution recognizes the right to freedom of business and human rights is one of the fundamental rights of citizens. Moreover, no general rules as the 1992 Constitution as citizens have freedom of business in accordance with the law, article 33 of the 2013 Constitution states that "Everyone has the right to freedom of business in the trades but the law does not prohibit. " This provision contains two important ideas: Everyone has the right to freedom of business; and limits of the freedom that is what the law prohibits, in other words, want to ban something, the State must express proclamation. Article 7 of the Law on Enterprises on the rights of business law firms in 2014 proving that enterprise market is "free trading of the business lines which are not prohibited by law." Prohibition of business investment in the following six sectors: drug business; chemical business, prohibit mineral; business plant and wildlife, endangered, rare is derived from nature; prostitution business; buy, sell people, tissues, body parts and other business activities related to human reproductive cloning. Business Registration: No need to write lines of Article 9, the current Enterprise Law stipulated now obliged 'business operations in accordance lines recorded in the certificate of business registration. This law is now tied up in the professions that State devised, lists and allows businesses to register. Ultimately, it is the gift business development from the State authorities. However, once the limit has been banned by the clarification, the business listing, which means determining the right business Enterprise, will become meaningless. In 2014 LDN, business is no longer a GCNDKDN more content. According to Article 29 of the new law, there will be only four GCNDKDN content: business name and business identification numbers; head office address; information on legal representatives and members of the company; and capital.
