- Căn cứ Bộ luật dân sự Nước Cộng hoà xã hội chủ nghĩa Việt Nam năm 2005;
- Căn cứ Luật Luật sư năm 2006;
- Căn cứ Thông tư: 05/2014/TT-BCT của Bộ tài chính quy định về hoạt động tạm nhập tái xuất.
- Căn cứ nhu cầu và năng lực của Các Bên tham gia Hợp đồng.

Bên A và Bên B sau đây trong Hợp đồng này được gọi riêng là «Bên» và gọi chung là «Hai Bên» hoặc «Các Bên» tùy theo ngữ cảnh.

Sau khi trao đổi, thoả thuận, Hai Bên đồng ý giao kết Hợp đồng tạm nhập tái xuất (sau đây gọi tắt là «Hợp đồng») với các điều khoản sau:

Điều 1: Đối tượng của hợp đồng
Bên A đồng ý thuê Bên B thực hiện việc tạm nhập tái xuất đối với sản phầm là Bò thịt với các nội dung sau:
- Số lượng: 2.000 con/tháng
- Cảng nhập: Cái Lân
- Cửa khẩu xuất: Móng Cái hoặc Cao Bằng
Bên B thực hiện các công việc:
- Nhập khẩu và kiểm dịch thú y
- Lưu bãi
- Vận tải
- Thủ tục hải quan

Tất cả những quy cách phẩm chất và mô tả chi tiết được ghi trong phụ lục của hợp đồng

Điều 2: Trách nhiệm của bên A
- Cung cấp hàng hoá đúng chất lượng theo quy định
- Cung cấp các giấy tờ có liên quan đến hàng hoá
- Thanh toán phí theo nội dung của Hợp đồng này.

Điều 3: Trách nhiệm của bên B
- Liên hệ với các cơ quan có thẩm quyền để cấp giấy phép về thú y, các thủ tục về hải quan và các thủ tục khác có liên quan đến hoạt động tạm nhập tái xuất hàng hoá nói trên.
- Thường xuyên báo cáo tiến độ thực hiện công việc Bên A
- Thực hiện đúng và đầy đủ mọi cam kết của Hợp đồng này.

Điều 4: Giá cả và thanh toán
Phí dịch vụ thực hiện các nội dung công việc trên được mô tả như sau:
- Tiền ký quỹ tiền thuế : 350.000 USD
- Phí dịch vụ: 5 USD/con
- Phí hoàn thành thủ tục xin cấp các loại giấy phép: 20.000 USD/năm
- Phí lưu cỏ: 10.000 đồng/con/ngày
- Cước vận tải:
+ Từ cảng Cái Lân đến Móng Cái: từ 11.000.000 đồng đến 14.000.000 đồng/ chuyến (từ 25 đến 30 con)
+ Từ cảng Cái Lân đến Cao Bằng: 25.000.000 đồng/chuyến (từ 25 đến 30 con)
- Phí lưu bãi: 2.500 USD/tháng
- Phí bảo vệ: 1.000 USD/tháng
- Phí chăm sóc thú y: 1.500 USD/tháng.

Điều 5: Bất khả kháng
a) Hợp đồng không ràng buộc người bán và người mua nếu sự thực hiện hợp đồng là không thể được vì lý do bất khả kháng nó bao gồm nhưng không chỉ giới hạn trong chiến tranh, đình công lớn, hạn chế nhập khẩu, hỏa hoạn, thiên tai.
b) Một giấy chứng nhận do một tổ chức có thẩm quyền hoặc Phòng Thương mại tại nước người bán hoặc người mua cấp sẽ là bằng chứng có giá trị trong trường hợp này.
c) Bên nào gặp bất khả kháng phải thông báo ngay cho bên kia biết trong vòng 10 ngày kể từ ngày xảy ra bất khả kháng. Nếu bất khả kháng được chính thức xác nhận là kéo dài 2 tháng liên tục kể từ ngày xảy ra, hợp đồng sẽ bị hủy bỏ mà không có bất kỳ sự khiếu nại nào, trừ phi hai bên đồng ý khác đi sau đó.

Điều 6: Giải quyết tranh chấp
Bất kỳ sự tranh chấp nào phát sinh từ hợp đồng này sẽ được giải quyết một cách hữu nghị giữa hai bên. Nếu có tranh chấp nào không thể giải quyết được, sẽ được đem ra Tòa án, hay Trọng tài ở Hague, Nertherlands, theo luật hòa giải và xét xử của Tòa án thương mại quốc tế hiện hành vào thời gian xét xử. Bản án, quyết định có hiệu lực pháp luật phân xử là quyết định cuối cùng và có giá trị ràng buộc hai bên.

Điều 7: Các điều khoản khác
Bất kỳ sự thay đổi hoặc sửa chữa nào đối với hợp đồng này phải được làm thành văn bản (bao gồm telex/fax) và chịu sự đồng ý của hai bên. Những sự thay đổi và sửa chữa này được xem như là một phần của hợp đồng.
Hợp đồng này được làm thành 4 bản bằng tiếng Anh có giá trị tương đương. Hai bản do người mua giữ và hai bản do người bán giữ.

Article 5: force majeure
a) contract does not bind the seller and the buyer if the implementation contract is unable to be for reasons of force majeure it including but not limited to war, strike, fire, import restrictions, natural disasters.
b) a certificate issued by a competent organisation or the Chamber of Commerce in the country of the seller or buyer level would be valuable evidence in this case.
c) Parties would meet force majeure shall notify the other party know within 10 days of the unforeseen happens. If the force majeure was officially confirmed as two consecutive months since the date of the contract will be cancelled without any complaints whatsoever, unless the two sides agreed then.

Article 6: dispute resolution
any dispute arising from this agreement will be resolved in a friendly way between the two sides. If any dispute cannot be resolved, will be brought to court, or arbitration in the Hague, Nertherlands, under the law on mediation and adjudication of the Court of international trade in the time trial. The verdict, the decision of law arbitration is final and binding on both sides.

Article 7: Miscellaneous
Any change or correction to this contract must be made in writing (including telex, fax) and subject to the consent of both parties. The changes and fixes are viewed as part of the agreement.
