11.1 Bên B chỉ được nâng cấp, cải tiến những dây chuyền sản xuất, máy móc thiết bị và tài liệu kỹ thuật để tạo ra những dây chuyền sản xuất, máy móc thiết bị và tài liệu kỹ thuật hoàn toàn mới, khi đã thông báo bằng văn bản cho bên A và được sự cho phép của bên A.
11.2 Quyển sở hữu của bên A công nghệ do bên A cung cấp vẫn bảo toàn sau khi cải tiến đổi mới, bên B chỉ có quyền sở hữu đối với những dây chuyền sản xuất, máy móc thiết bị và tài liệu kỹ thuật được thêm vào dây chuyền trong quá trình cải tiến.
11.3 Các thay đổi về những dây chuyền sản xuất, máy móc thiết bị và tài liệu kỹ thuật do bên A cung cấp phải được thông báo bằng văn bản cho bên A, được sự cho phép của bên A và phải có sự tham gia của kỹ thuật viên bên A, sự giám sát của đại diện trưởng bên A. Sau khi cải tiến, đổi mới công nghệ vẫn thuộc quyền sở hữu của bên A. Bên B sẽ nhận được phí là 20% giá trị của phần đổi mới, cải tiến. Giá trị này sẽ được thẩm định giá tại công ty thẩm định giá do bên A chỉ định. Bên A có quyền đăng kí quyền sở hữu công nghiệp đối với phần cải tiến và đổi mới này
11.4 Sau khi đăng kí quyền sở hữu công nghệ phẩn công nghệ đã cải tiến và đổi mới như Điều 11.3, bên A có quyền chuyển giao phần công nghệ mới này cho bên thứ ba khác.
