- “Bên A” được hiểu là bên nhận gia công hàng hoá trong hợp đồng này.
- “Bên B” được hiểu là bên đặt gia công hàng hoá trong hợp đồng này.
- “Gia công” là một phương thức giao dịch trong đó người đặt gia công cung cấp nguyên liệu, định mức, tiêu chuẩn kỹ thuật, bên nhận gia công tổ chức sản xuất sau đó giao lại sản phẩm và được nhận một khoản tiền công tương đương với lượng lao động hao phí để làm ra sản phẩm đó, gọi là phí gia công.
- “Mẫu” là thiết kế của bên đặt gia công gửi kèm các tài liệu kỹ thuật cho bên nhận gia công để thực hiện. Mẫu là thành phần không thể tách rời của hợp đồng.
- “Trọng tài” là một phương thức giải quyết tranh chấp phát sinh trong hoạt động thương mại do các bên thỏa thuận và được tiến hành theo quy định của pháp luật. Việc giải quyết tranh chấp có thể được tiến hành bởi Hội đồng trọng tài của một Trung tâm trọng tài nhất định hoặc bởi Hội đồng trọng tài do các bên tự thành lập dựa trên thỏa thuận.
- “Nguyên phụ liệu” là các vật liệu, chi tiết mà bên nhận gia công sẽ bổ sung để tạo ra thành phẩm.
