Chúng tôi đồng ý ký Hợp đồng Uỷ quy

Chúng tôi đồng ý ký Hợp đồng Uỷ quyền với nội dung sau:
ĐIỀU 1: PHẠM VI UỶ QUYỀN
1. Bên B là đơn vị duy nhất có đủ hành vi năng lực và pháp lý thay mặt Bên A sử dụng hồ sơ pháp nhân, pháp lý và hồ sơ thiết kế của Dự án Khu du lịch nghỉ dưỡng Cát Trắng để thực hiện giao dịch với các nhà đầu tư trong và ngoài nước để hoàn tất thủ tục kêu gọi và hợp tác đầu tư cho Dự án.
2. Bên B là đơn vị duy nhất có đủ pháp lý để thay mặt cho Bên A hoàn tất và bổ sung các thủ tục hồ sơ pháp lý cho Bên A (khi các nhà đầu tư có yêu cầu).
3. Là đơn vị được cấp mã số hồ sơ để giao dịch với nguồn vốn đầu tư.

ĐIỀU 2: THỜI HẠN UỶ QUYỀN
Thời hạn uỷ quyền là 06 tháng kể từ ngày 18 tháng 01 năm 2016 đến hết ngày 18 tháng 07 năm 2016
Trong quá trình thực hiện, nếu có phát sinh sẽ được thoả thuận bằng văn bản.

ĐIỀU 3: TRÁCH NHIỆM VÀ NGHĨA VỤ CỦA CÁC BÊN
1. TRÁCH NHIỆM VÀ NGHĨA VỤ CỦA BÊN A
- Có trách nhiệm đồng hành cùng Bên B để thực hiện công việc và ký kết các chứng từ, giấy tờ liên quan đến Dự án White Sand theo từng giai đoạn.
- Cùng Bên B đi gặp nhà đầu tư khi bên nguồn góp vốn và đầu tư có yêu cầu.
- Không uỷ quyền cho một đơn vị nào khác ngoài Bên B để thực hiện các công việc trên.
- Khi Bên B đã hoàn tất việc kêu gọi đầu tư – nhà đầu tư đã đồng ý đầu tư hoặc tài trợ mà Bên A không thực hiện – Bên A sẽ bồi thường cho Bên B một khoản chi phí (sẽ bổ sung Phụ lục Hợp đồng).
2. TRÁCH NHIỆM VÀ NGHĨA VỤ CỦA BÊN B
- Cam kết thực hiện đầy đủ các điều kiện được uỷ quyền một cách nghiêm túc và chịu trách nhiệm trước Bên A về các công việc đã được giao.
- Báo cáo cho Bên A tiến độ công việc theo từng giai đoạn đang thực hiện.
- Không được phép bàn giao hồ sơ cho Bên thứ 3 khi chưa được sự chấp thuận của Bên A.

ĐIỀU 4: CAM KẾT CỦA HAI BÊN
Bên A và Bên B chịu trách nhiệm trước pháp luật về những lời cam kết sau đây:
1. Những thông tin cung cấp để phù hợp với công việc là đúng sự thật.
2. Thực hiện đúng và đầy đủ các thoả thuận ghi trong Hợp đồng này.

ĐIỀU 5: ĐIỀU KHOẢN CUỐI CÙNG
Hợp đồng này được lập thành 02 (hai) bản bằng song ngữ tiếng Việt và tiếng Anh. Mỗi bên giữ 01 (một) bản có giá trị pháp lý như nhau.
Hai bên đã đọc lại, hiểu rõ nội dung Hợp đồng Uỷ quyền và tự nguyện ký tên dưới đây.
Hợp đồng này kết thúc lúc 17h ngày 18 tháng 01 năm 2016.
