Nếu hội đồng trọng tài của VIAC ra phán quyết rằng Điều Kiện Chuyển Nhượng đã hoàn thành thì Bên Mua có nghĩa vụ ký kết Hợp Đồng Chuyển Nhượng và trả cho Các Bên Bán một khoản phạt tính trên phần còn lại của Giá Chuyển Nhượng sau khi trừ đi Tiền Đặt Cọc với lãi suất 12%/năm cho thời hạn 90 (chín mươi) ngày đầu tiên tính từ ngày Các Bên Bán thông báo Điều Kiện Chuyển Nhượng đã hoàn thành và lãi suất 18%/năm cho thời hạn kể từ ngày thứ 91 (chín mốt) trở đi tới ngày thanh toán đủ khoản phạt đó;
